BlueLink SBS - Terms of Service

These Terms govern your use of the BlueLink SBS Platform and Escrow Service. By continuing to use the Platform, you accept these Terms and our Privacy Policy.

Definitions

  • Buyer: A User who initiates payment for a Product listed by a Seller on the Platform.
  • Escrow Service: The core service provided by BlueLink, where we act as a neutral third party to receive, hold, and disburse funds for a Transaction between a Buyer and Seller, subject to the conditions herein.
  • Product: The item or service listed for sale by a Seller.
  • Seller: A User who lists a Product for sale on the Platform.
  • Transaction: A single purchase agreement facilitated through the Platform's Escrow Service.
  • User: Any individual or entity that registers an account, whether as a Buyer, Seller, or both.
  • Bluelink: The unique payment link generated for a Product listing.

Acceptance of Terms

  • By accessing and using the website at bluel.ink and the associated services (the Platform), you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of these Terms, you may not use the Platform.

User Accounts and Eligibility

  • You must be at least 18 years old and capable of forming a binding contract.
  • You are responsible for maintaining the confidentiality of your account and password and for all activities under your account.
  • You must provide accurate, current, and complete information during registration and keep it updated.
  • We may suspend or terminate accounts that provide false information or are used for prohibited activities.

Description of the BlueLink Escrow Service

  • A Seller lists a Product and sets a delivery window (2-30 days).
  • A unique, secure Bluelink is generated for that Product.
  • A Buyer uses the Bluelink to make a payment, which BlueLink receives and holds securely.
  • The Seller is notified to dispatch the Product.
  • Upon delivery, the Buyer must log in to confirm receipt.
  • BlueLink releases held funds to the Seller upon Buyer confirmation.
  • If the maximum delivery days pass without Buyer confirmation, BlueLink initiates an automatic refund to the Buyer.

Financial Terms, Fees, and Payouts

  • Transaction Fees (borne by the Seller unless otherwise stated on a given bluelink): 2.5% on amounts below ₦2,500; 2.5% + ₦200 on ₦2,500–₦49,999; flat ₦2,000 on ₦50,000–₦99,999; flat ₦2,500 on ₦100,000–₦249,999; flat ₦3,500 on ₦250,000–₦499,999; flat ₦5,000 on ₦500,000–₦999,999; flat ₦7,500 on ₦1,000,000–₦5,000,000; flat ₦10,000 on ₦5,000,000–₦9,999,999; capped at ₦10,000 for amounts above ₦10,000,000.
  • Cap on chargeable amount: We only compute fees on the first ₦9,999,999 of a transaction; anything above is ignored for fee calculation, so the maximum fee is ₦10,000.
  • Payouts to Sellers: Released funds, minus the applicable fee, are remitted to the Seller's provided bank account on the schedule shown in the dashboard.
  • Refunds to Buyers: Auto-refunds or validated disputes are returned to the original payment method.
  • Payment Processor: Paystack processes payments; use of Paystack is governed by their terms. We do not store full card details.

Intellectual Property and User Content

  • Platform IP: All software, designs, trademarks, and non-user content on the Platform are owned by or licensed to BlueLink SBS.
  • User Content: Users retain ownership of their uploads (product photos, descriptions). By uploading, you grant BlueLink a worldwide, non-exclusive license to use, display, and distribute that content to operate the Platform and facilitate Transactions.

Disclaimers and Limitation of Liability

  • Service As Is: The Platform and Escrow Service are provided on an as is and as available basis, without warranties to the fullest extent permitted by Nigerian law.
  • Agent Role: BlueLink acts solely as an Escrow Agent for holding and disbursing funds under these Terms; we are not a party to the underlying sale contract.
  • Product Liability: We do not verify, endorse, or guarantee the quality, safety, or legality of Products listed. Disputes about quality or misrepresentation are primarily between Buyer and Seller, though we may facilitate resolution.
  • Liability Cap: To the maximum extent permitted by law, BlueLink SBS's total liability to any User is limited to the amount of Platform fees paid by that User in the transaction giving rise to the claim, or if no fees were paid, to the sum of N50,000. We are not liable for indirect, incidental, or consequential damages.

Termination

  • We may suspend or terminate your access immediately, without prior notice, for conduct that violates these Terms, is fraudulent, or is harmful to other Users or the Platform.

Dispute Resolution Between Users

  • Users agree to first attempt resolution through BlueLink support (support@bluel.ink) with evidence such as communications, proof of shipment, and photos.
  • If unresolved, the matter may be referred to relevant Nigerian consumer protection agencies like the FCCPC or resolved through litigation.

Governing Law and Jurisdiction

  • These Terms are governed by the laws of the Federal Republic of Nigeria. Suits arising out of these Terms or the Platform will be brought in the competent courts in Nigeria.

General Provisions

  • Modifications: We may modify these Terms; continued use after changes constitutes acceptance.
  • Force Majeure: We are not liable for failures due to circumstances beyond our reasonable control.
  • Severability: If any provision is invalid, the remainder stays in effect.

User Obligations and Conduct

Seller
Key Obligations
  • Accurately describe the Product.
  • Set a realistic delivery window and dispatch promptly once payment is secured.
  • Provide valid proof of delivery if disputed.
Prohibited Activities
  • Listing fake, illegal, or infringing items.
  • Misrepresenting products or failing to ship after payment is secured.
  • Attempting to bypass Platform fees by transacting off-platform.
Buyer
Key Obligations
  • Ensure payment details are valid.
  • Inspect the Product promptly upon delivery and confirm receipt on the Platform.
  • Initiate disputes in good faith through the provided channels.
Prohibited Activities
  • Initiating false disputes or refusing to confirm receipt without valid cause.
  • Unauthorized chargebacks.
All Users
Key Obligations
  • Comply with applicable laws, including the NDPA, Cybercrimes Act, and FCCPA.
Prohibited Activities
  • Spamming, harassment, uploading malicious content, reverse engineering, scraping, fraud, money laundering, or interfering with the Platform.
